1. Agreement to Terms
These Terms & Conditions govern your access to and use of the DRODE website, platform, wallet features, applications, provider network tools, and related services. By accessing or using DRODE, you agree to these Terms. If you do not agree, you may not use the platform.
DRODE is a healthcare payment and wallet platform. DRODE is not health insurance, a health plan, a discount medical plan, a healthcare provider, a lender, a bank, a broker-dealer, an investment adviser, or a financial planner. DRODE does not provide medical advice, clinical services, diagnosis, treatment, insurance coverage, claims administration, or financial advice.
2. Wallet & Funding
DRODE may allow users to maintain a wallet balance using USDC or another supported digital asset. USDC and other digital assets are issued by third parties and are not issued by DRODE. Digital assets may be subject to blockchain network risk, smart contract risk, issuer risk, custody risk, wallet-access risk, cybersecurity risk, regulatory risk, and loss of value, including the potential loss of parity with the U.S. dollar.
Unless expressly stated otherwise, wallet balances are not bank deposits and are not insured by the FDIC, NCUA, SIPC, or any governmental insurance program. DRODE does not guarantee the value, availability, convertibility, transferability, or redemption of any digital asset.
DRODE does not currently offer proprietary tokens, staking, yield, interest, investment products, securities, or financial advice. Any future digital asset, reward, or incentive program, if offered, will be subject to separate written terms and applicable legal and regulatory requirements.
3. Deposits, Withdrawals, and Payments
You are responsible for reviewing and authorizing all payments before submission. Once authorized, blockchain transactions or provider payments may be irreversible or subject to third-party processing limitations.
Withdrawals, deposits, transfers, and payments may be delayed, restricted, rejected, reversed, or suspended due to identity verification, fraud screening, sanctions screening, AML compliance, blockchain network conditions, third-party processor requirements, provider acceptance, legal requirements, or suspected misuse of the platform.
DRODE does not guarantee that any provider will accept a payment through the platform, that any payment will satisfy a user’s medical bill, or that any provider will refund amounts paid.
4. Providers, Healthcare Services, and Billing
Healthcare providers, not DRODE, are solely responsible for the healthcare services they provide, including diagnosis, treatment, medical advice, clinical decisions, pricing, invoices, billing codes, refunds, cancellations, patient communications, and compliance with professional licensing requirements.
DRODE may facilitate payments between users and participating providers, but DRODE does not control the quality, timing, appropriateness, price, or outcome of healthcare services. Any dispute about medical treatment, provider conduct, billing, coding, refunds, or services must be resolved directly with the provider, except where DRODE separately agrees in writing to assist with payment-related support.
5. Privacy, HIPAA, and Sensitive Information
DRODE is designed as a payment and wallet platform. Users should not submit sensitive medical information unless specifically requested through an authorized platform workflow.
To the extent DRODE receives, creates, maintains, or transmits Protected Health Information on behalf of a HIPAA-covered provider or other covered entity, such activity must be governed by a separate Business Associate Agreement. DRODE’s use of personal information is also governed by its Privacy Policy.
6. User Responsibilities
You are responsible for maintaining the confidentiality of your account credentials, wallet access, devices, private keys, recovery phrases, and authentication methods. You are responsible for all activity conducted through your account unless prohibited by applicable law.
You agree to provide accurate, current, and complete information; maintain sufficient funds before authorizing payment; use the platform only for lawful purposes; and comply with all applicable laws, rules, sanctions, tax obligations, and provider requirements.
7. Compliance and Prohibited Uses
DRODE may require identity verification and may conduct fraud, sanctions, AML, and compliance screening. You may not use DRODE to engage in fraud, money laundering, sanctions evasion, unlawful payments, misrepresentation, unauthorized access, abusive conduct, or any activity that creates legal, regulatory, security, or reputational risk for DRODE, its users, providers, or partners.
DRODE may suspend, restrict, or terminate access to the platform if DRODE reasonably believes that a user has violated these Terms, submitted inaccurate information, engaged in fraud or misuse, created legal or regulatory risk, violated sanctions or AML requirements, or used the platform for unlawful activity.
8. Disclaimers
The platform is provided on an “as is” and “as available” basis. DRODE does not warrant that the platform will be uninterrupted, error-free, secure, available at all times, or compatible with every wallet, blockchain, provider system, bank, payment processor, or device.
DRODE is not responsible for losses caused by third-party services, blockchain networks, stablecoin issuers, wallet providers, payment processors, banks, healthcare providers, internet outages, cybersecurity incidents, user error, private key loss, unauthorized access, regulatory changes, or events outside DRODE’s reasonable control.
9. Limitation of Liability
To the maximum extent permitted by law, DRODE shall not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages arising out of or relating to the platform, wallet features, digital assets, provider services, healthcare payments, service interruptions, or third-party conduct.
Nothing in these Terms limits liability that cannot be limited under applicable law.
10. Changes to These Terms
DRODE may update these Terms from time to time. Updated Terms will be posted on the website or made available through the platform. Your continued use of DRODE after updated Terms are posted means you accept the updated Terms.
11. Governing Law
These Terms are governed by the laws of _______________________________, without regard to conflict-of-law principles. Unless otherwise required by applicable law or a separate written agreement, any dispute arising from or relating to these Terms or the platform shall be brought in the state or federal courts located in ____________________________.
